Music Publishing Agreement

HupSub will administer Songwriter's publishing rights including:
HupSub ບໍລິຫານ Publishing rights ຂອງ Songwriter ລວມເຖິງ:

• ✅ Register works with PROs (BMI/ASCAP/MCT/etc.)
• ✅ Issue ISWC codes
• ✅ Collect performance royalties (radio, TV, streaming, live)
• ✅ Collect mechanical royalties (Spotify, Apple, downloads)
• ✅ Manage sync licensing (TV, film, ads)
• ✅ Track + dispute Content ID claims on YouTube/TikTok
• ✅ Monthly royalty statements + payment
• ✅ International sub-publishing via foreign societies

5.1 Initial Term / ໄລຍະເລີ່ມຕົ້ນ: 3 years from signing date.

5.2 Auto-renewal / ການຕໍ່ອັດຕະໂນມັດ: Auto-renews 1 year at a time unless either party provides 60-day written termination notice before end of current term.
ສັນຍາຕໍ່ອັດຕະໂນມັດ 1 ປີ ເວັ້ນແຕ່ມີຫນັງສືແຈ້ງລ່ວງໜ້າ 60 ວັນ.

5.3 Early termination for cause / ການຍົກເລີກກ່ອນກຳນົດ: Songwriter may terminate immediately if HupSub:

• Fails to pay royalties for 2 consecutive quarters (after 30-day cure period)
• Materially breaches accounting / audit obligations
• Becomes insolvent or files for bankruptcy

5.4 Reversion of Rights / ການກັບຄືນຂອງສິດ: Upon termination, copyright reverts 100% to Songwriter. HupSub retains:

• 3-year tail to collect on royalty pipelines registered during term (PRO/MLC pipelines do not stop instantly)
• Right to be paid for sync deals already closed before termination
• No right to register new works or claim new revenue streams

5.5 Post-termination obligations: Within 30 days of termination, HupSub will provide Songwriter with: (a) full statement of all collected royalties, (b) list of all PROs/societies registered, (c) cooperation in transferring registrations to Songwriter's new administrator.

Songwriter confirms / ສິລະປິນຍືນຢັນ:

• ☐ Songs are original works
• ☐ Has authority to grant publishing rights
• ☐ Will not affiliate with another publisher during term
• ☐ Has agreement from all co-writers (if any)
• ☐ Will provide accurate split sheets for collaborations

Songwriter hereby grants HupSub limited Power of Attorney to act on Songwriter's behalf during the Term, solely for the following purposes:

• ✅ Register works with PROs (ASCAP, BMI, SESAC, MCT, etc.) and the MLC
• ✅ Submit works for ISWC, ISRC, HUP-COMP-ID, and other identifiers
• ✅ Sign sub-publishing agreements with foreign societies (sub-pub network)
• ✅ Issue and respond to Content ID claims on YouTube, TikTok, Facebook, Instagram
• ✅ File DMCA takedown notices against unauthorized uses
• ✅ Issue sync licenses for film, TV, advertising, video games (with notice to Songwriter for sums > $5,000)
• ✅ Defend Songwriter's rights in administrative and judicial proceedings related to the registered works
• ✅ Collect and receive royalties payable on Songwriter's behalf

Limitations / ຂໍ້ຈຳກັດ:

• HupSub may NOT assign or sell Songwriter's copyrights
• HupSub may NOT enter exclusive deals binding Songwriter beyond the Term
• HupSub may NOT waive Songwriter's moral rights
• This PoA terminates automatically when this Agreement terminates

6.6.1 Songwriter indemnifies HupSub. If any third party makes a claim against HupSub arising from a breach of Songwriter's representations in Section 6 (e.g., the song is not original, Songwriter does not actually own the rights granted, a co-writer is missing, or a sample was used without clearance), Songwriter agrees to:

• Reimburse HupSub for all legal fees, court costs, and damages
• Pay back any royalties HupSub must return to the rightful owner
• Cooperate fully with HupSub's defense (provide evidence, testify if needed)

6.6.2 HupSub indemnifies Songwriter. If HupSub negligently mis-registers a work, issues a sync license without authority, or fails to remit collected royalties, HupSub will indemnify Songwriter for resulting losses (capped at total royalties collected on the affected works).

6.6.3 Set-off rights / ສິດຫັກກີບ. HupSub may set off any amount Songwriter owes under this Section 6.6 against royalties otherwise payable to Songwriter, with written notice and 30-day cure period.
